Terms and Conditions.

“Regular” * Late payments are subject to a 2% monthly or 24% annual interest rate. * Business hours: 9:00 am to 6:00 pm EST. * * Your Web Guys LLC retains the right to bill the customer for work done up to this point if the client does not reply to correspondence from the company (email, letter, or phone calls) for a period of ten (10) business days. The retainer is automatically terminated if a client fails to submit payment or is unresponsive for a period of time beyond thirty days after the bill is due. All balances up until the conclusion of the cancelation month shall be the client’s responsibility. * The client will supply any text that is needed for the project electronically.
- Unless Your Web Guys LLC has been hired to retrieve photographs, provide the desired images. Assign a single individual to serve as this project’s point of contact. This point of contact will be used for all correspondence, including but not limited to those regarding approvals, reviews, adjustments, redesigns, and upgrades. As the company’s representative, they will have the last say and be in charge of all choices. It is acknowledged that both parties are putting in equal amounts of time and effort to see this project through to its conclusion. Please name the firm representative and the determining party, as well as any other parties, when you sign.
Marketing
Promotion In the absence of a restriction imposed by an extant non-disclosure agreement or confidentiality agreement, Your Web Guys LLC and the client reserve the right to publicly announce their business partnership, project synopsis, or project outcomes in a way that is mutually beneficial to both parties. Press releases, business news releases, and standard printed or digital marketing collateral are the only things that can be published in this way.
Client Logo:For the sole purpose of promoting its development and consulting services to prospective clients, the client authorizes 1111 Media Group to use its logo and the client company name on collateral materials that are available for public viewing on screens and in print.
Delivery timetable:
All project tasks will be delivered in accordance with timetable availability. It is not possible to promise a specific time.
Lawful
All the agreements, understandings, representations, conditions, guarantees, and covenants made between the parties hereto are contained in this proposal and all the exhibits linked herein. Neither party shall be responsible for any other representations made unless specifically stated below. If disagreements emerge that cannot be settled by discussion, both parties consent to arbitrator proceedings.
Copyright
It is acknowledged that Your Web Guys LLC’s creations developed in accordance with this Agreement would eventually be recognized as “work made for hire.” Nevertheless, Your Web Guys LLC shall own all right, title, and interest in the aforementioned work, including any design, photography, and other relevant intellectual property rights, until full payment is received. All rights, titles, and interests in the work will be fully assigned and turned over to the client by Your Web Guys LLC upon receipt of the final payment, making the client the only owner of the creation.
Project Termination
Should the customer decide to terminate the project before it is finished, 1111 Media Group will consider it finished and will charge for any unfinished work, time, and expenses up until the point of termination. The client will get credit for time not yet used, provided that the work finished at the time of cancellation does not exceed the amount of the deposit. This effort will be computed using the hourly rates that were agreed upon as part of the initial quotation, and it will represent the actual time spent on the project up until the point of cancellation.
Cancellation of Video & Photoshoot:
All in-person video and picture sessions (referred to as “shoots”) must be cancelled with seven (7) days’ notice. Your Web Guys LLC reserves the right to charge the client up to 50% of the shoot cost PLUS up to 100% for any preparation time, materials, and/or expenses directly related to the shoot that cannot be repurposed or reimbursed in the event that the client cancels a shoot with less than seven (7) days’ notice before the scheduled shoot date. A penalty-free cancellation policy will be applied if cancellations are made up to seven (7) days prior to an in-person film or photo shoot, unless there are costs associated with preparation, meals, travel, materials, or other expenses that are directly related to the shoot and cannot be repurposed.
Cancellation of Significant Meetings:
Generally speaking, a “significant meeting” is any gathering that lasts two hours or longer and involves more than one employee of Your Web Guys LLC (e.g., a Kick-Off Meeting, Brainstorming Meeting, Planning or Strategy Day). Your Web Guys LLC reserves the right to charge the client up to 50% of the meeting cost in addition to up to 100% of any preparation time, food, travel, materials, or other expenses incurred that are directly related to the significant meeting and that cannot be reused or reimbursed in the event that the client cancels a significant meeting with less than seven (7) days’ notice before the scheduled meeting date. A significant scheduled in-person or virtual meeting may be canceled up to seven (7) days in advance without incurring penalty fees, provided that no expenses related to preparation, meals, travel, materials, or other costs are incurred and directly related to the significant meeting that cannot be reused or reimbursed.
Cancellation of Retainer
A project is deemed “retainer” if payment is determined by a monthly schedule rather than a milestone schedule. The client has fifteen days’ notice to cancel this retainer before the start of any given calendar month. Any verbal or email retainer termination must be followed up with an email acknowledging receipt of the cancellation.
Proposal/Predicted End
Date The Your Web Guys LLC reserves the right to reestimate the project as necessary once this estimate expires, which is good for 15 days.
